ARTICLE I NAME
Section 1.1 Organization Name
The name of this unincorporated organization is Greeley – Weld Indivisible; hereinafter referred to in these bylaws as GWI.
ARTICLE 2 LOCATION
Section 2.1 Principal Office
There is no principal office for GWI; however, a principal office may be established at such place(s) within Weld County, Colorado, as designated by the Steering Committee.
ARTICLE 3 PURPOSE AND POLICY
Section 3.1 General Purpose
The purpose of GWI is embodied in its mission statement.
Greeley-Weld Indivisible is a grassroots, nonpartisan political group based in Greeley, Colorado. We the people are dedicated to uniting citizens in our community to promote positive change and social justice. Through advocacy, education, and community building, we strive to create a more inclusive and equitable society for all.
Section 3.2 Structure
GWI is an unincorporated group that has not adopted any formal legal structure, has not sought any tax-exempt status, and is not registered as a PAC at the state or federal level. However, this does not preclude GWI from seeking such status at a later date.
ARTICLE 4 MEMBERSHIP
Section 4.1 General Membership
Membership in GWI is open to anyone who subscribes to the purposes, policies, and rules of GWI and who is at least 16 years of age and has shared their contact information as proof of membership.
Section 4.2 Voting Membership
Voting members are defined as General Members who are present for the vote or have received the digital vote link through the general membership voter mailing list that all General Members will have the opportunity to register to vote with GWI at least 1 (once) per year.
Section 4.3 Groups
Third-party, networked groups, such as The People’s Townhall, 50501, or other Indivisible chapters that have signed up for the mailing list or social media are not considered members and do not have voting rights.
Section 4.4 Termination of General Membership and/or voting rights
Members may have their membership status and/or voting rights terminated by a vote of simple majority of the Steering Committee if they have been found to be in non-compliance with GWI policies and rules.
ARTICLE 5 Steering Committee
Section 5.1 Steering Committee
The Steering Committee will consist of the National Liaison, the past Liaison, Secretary(ies), and the Treasurer(s), Past Treasurer, the specialty Team Leads, and a Member at Large. Each position will receive one (1) vote on the Steering Committee. In the case of Co-Chairs and other Co-positions, each position will receive one (1) vote only. If the persons in each of the co-positions cannot agree, they will be considered to have cancelled each other out and will receive zero (0) votes for the purpose of the specific item being voted on.
- The officers will be Facebook Admins of GWI and the Team Leads will be Facebook Moderators. The duties of the Facebook Admins and Moderators are identified in Facebook.
- The Steering Committee will collectively exercise the leadership role for GWI, including, but not limited to, assigning or reassigning who will be responsible for setting agendas of general meetings, setting approval criteria for members and postings, approving expenditures and related fiduciary functions, developing topics, and managing social media.
- The Steering Committee will be in charge of managing Speciality Teams to include approval of new teams and disbanding of inactive teams.
- It will annually, in the month of January, elect the Chairperson(s), Secretary(ies), and Treasurer(s). The Steering Committee members carrying out these roles must be voting members and will serve for a term of one year. There is no limit to the number of terms officers may serve in these roles; however, they may not serve in the same role for more than three (3) consecutive years.
- Conflict of Interest-A conflict of interest exists when an officer or member of the Steering Committee has a personal or financial interest that could compromise their ability to act in the best interests of the organization. All such individuals are required to disclose any potential conflicts of interest to the Steering Committee. Members must abstain from voting on matters where they have a conflict. The committee will review all disclosed conflicts and take appropriate action to ensure that the organization’s interests are protected.
- If a member of the Steering Committee has more than one role they only get one vote.
Section 5.2 Removal from Steering Committee
- The Steering Committee may remove any officer from office whenever; in its judgement, the best interest of the organization will be served. Written notice of the proposed removal must be delivered to the Steering Committee at least ten (10) days prior to such meeting.
- Removal requires to be passed by majority vote of those present
Section 5.3 National Liaison
- The National Liaison is responsible for being the primary contact(s) with the National Indivisible organization.
- The National Liaison or designee is responsible for attending the national Indivisible organization meetings as needed, including the monthly Leadership call.

Section 5.4 Past-National Liaison
- The Past-National Liaison is responsible for providing training and mentorship to the incoming Liaison.
- Other duties as assigned.
Section 5.5 Secretary
The Secretary or Designee will be responsible for recording all attendance, votes and minutes of all Steering Committee and General meetings, give notice of all Steering Committee and General meetings, maintain the membership list and administer elections. The Secretary(ies) may delegate these tasks to other members upon approval of the Steering Committee. The Secretary(ies) will also perform other such duties as deemed appropriate by the Steering Committee.
Section 5.6 Treasurer(s)
The Treasurer or Co-Treasurers will be responsible for keeping full and accurate records of GWI’s receipts and disbursements, including those of the GWI Act Blue account and debit card issued through the national Indivisible organization. This also includes receipts to be sent to the national Indivisible organization for reimbursement.
- The Treasurer(s) will provide any and all fiscal reports required by the Steering Committee and the national Indivisible organization, including an annual and monthly report at GWI General Meetings which includes but is not limited to the income, expenses, and balance of GWI.
- It is not anticipated that GWI will require tax filings, but in the event it does, this will be the responsibility of the Treasurer(s) unless GWI obtains the services of a GPA.
- The Treasurer(s) will also perform other such duties as deemed appropriate by the Steering Committee.
- The Steering Committee will arrange for an annual review of the books by a minimum of two (2) persons identified by the Steering Committee, during the first quarter of the year.
Section 5.7 Member at Large
The Member at Large will liaison to the General Members and other duties as assigned by the Steering Committee.
Section 5.8 Specialty Team Leads
GWI will have teams focused as described on the GWI website at GreeleyWeldIndivisible.com or on the internal collaboration software. Teams may be established or discontinued as needed, and are for the purpose of directing the daily activities of GWI. The Steering Committee can create teams in consultation with the General Membership, or members can start teams on their own initiative, as long as the team supports and aligns with the purpose, policies, and rules of GWI, and has a lead(s) plus two active members. Each team will elect a Lead(s) from its own members, by majority vote. It is recommended but not required that they also elect a Secretary or Co-Secretaries. The Lead(s) will be responsible for keeping the team viable, communicating to the Steering Committee, and to the General Membership (through reports at the meeting or through the monthly newsletter). It is recommended that Teams have a Secretary who keeps and distributes meeting minutes. A designated Lead of each Specialty Team will be a member of the Steering Committee, with 1 vote per team.
Section 5.9 Elections
Electable positions include National Liaison, Treasurer and Secretary. Elections of officers will be held in January of each year, by majority vote of the Steering Committee unless a position needs to be filled sooner.
- Any vacancy by reason of resignation, death, or removal of any officer or elected member may be filled, until the next Annual meeting in January, by a majority vote of the remaining members of the Steering Committee, or in the case of a specialty Team, its members.
- Elections will be by ballot unless there is only one nominee/volunteer for an office, in which case it shall be by voice vote. (A majority vote of the Steering Committee will constitute an election. In the case that the vote is by General Voting Membership, a majority vote of those present, either in person or by teleconferencing means, will constitute an election.- (PICK ONE).
- A position held for a minimum of six (6) months will be considered a full term for the purpose of term limitations.
- The Member at Large is elected by the General Membership through digital ballot.
- Any General Member can either nominate someone, or self-nominate to run for the Officer or Member at Large positions of the Steering Committee.
- Special Elections will be added at the discretion of the Steering Committee.
ARTICLE 6 MEETINGS
Section 6.1 General Membership Meetings
The Steering Committee will schedule a minimum of ten (10) general meetings a year at a place and time determined by a simple majority of the Steering Committee for the purposes of conducting and reviewing GWI activities, deadlines, events, and other GWI business. Informational notices may be made at the general meeting but are encouraged to be provided by newsletter instead if no discussion or voting is needed. Meetings may be by teleconference or other electronic means by which persons participating may communicate with each other. Any person participating in a meeting by such method shall be considered present at the meeting. The Secretary(ies) will provide notice of the meeting and the minutes of the prior meeting to the membership no later than five (5) days prior to the meeting.
Section 6.2 Steering Committee and Speciality Team Meetings
Each Team will schedule a minimum of ten (10) meetings a year at a place and time determined by the team in a manner developed by the team, for the purpose of developing, conducting, and reviewing actions and activities in furtherance of the goal of the team. Meetings may be by teleconference or other electronic means by which persons participating may communicate with each other. Any person participating in a meeting by such method shall be considered present at the meeting. The Secretary of the team, or a designee, will provide notice of the meeting and the minutes of the prior meeting to the members of the team no later than five (5) days prior to the meeting.
Section 6.3 Annual Meeting
Both the Annual Meeting of the General Membership and the Annual Meeting of the Steering Committee will be held in January of each year and will encompass any duties enumerated by the General Membership for its meeting and the Steering Committee for its meeting.
ARTICLE 7 MISCELLANEOUS PROVISIONS
Section 7.1 Amendments to Bylaws.
The Bylaws may be amended or new Bylaws adopted by a two-thirds (⅔) vote of the voting members present at a Steering Committee meeting. Notice of such a vote must be provided to all voting members a minimum of 20 days prior to such a vote.
Section 7.2 Agreements and Contracts
All contracts, notes, or agreements will be signed by a Steering Committee member(s) as the Steering Committee designates.
Section 7.3 Action Out of Order
Any action taken by a member in contravention of these Bylaws is null and void.
Section 7.4 Dissolution
In the event of dissolution of GWI for any reason, all money and securities or other property of whatsoever nature with a value over $20, which at the time is owned or under the absolute control of GWI, will be distributed at the discretion of the Steering Committee, or such other person(s) as are charged by law with the liquidation or winding up of GWI and it affairs, to any Indivisible group in the state of Colorado as determined by the Steering Committee.
